1. Agreement to Terms

By accessing or using the website at 3lions.ca (the "Site") and any services provided by 3 Lions Design Studio ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all the terms and conditions of this agreement, you must not access or use the Site or our services.

These Terms apply to all visitors, users, and others who access or use the Site. We may update these Terms from time to time without prior notice. Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes.

2. Description of Services

3 Lions Design Studio provides professional design, development, and automation services leveraging AI-powered tools and methodologies. Our services include, but are not limited to:

• Content creation and marketing strategy
• Creative design and branding
• Research and analytics
• Workflow automation and AI integration
• Web and application development
• Strategic bidding and proposal generation
• Voice AI and telephony solutions
• Enterprise intelligence and back-office automation

The specific scope, deliverables, timelines, and fees for any services will be defined in a separate service agreement or statement of work between you and 3 Lions Design Studio.

3. Intellectual Property

The Site and its original content, features, and functionality are owned by 3 Lions Design Studio and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Unless otherwise specified in a separate service agreement:

• Our IP: All content on this Site, including text, graphics, logos, icons, images, audio clips, and software, is the property of 3 Lions Design Studio or its content suppliers
• Client Deliverables: Upon full payment, intellectual property rights in deliverables created specifically for you will be assigned as specified in your service agreement
• Tools and Methods: We retain ownership of our proprietary tools, templates, processes, AI models, and methodologies, including any pre-existing intellectual property incorporated into deliverables
• Portfolio Rights: Unless explicitly excluded in writing, we reserve the right to showcase work created for clients in our portfolio and marketing materials

4. User Conduct

You agree not to use the Site or our services in any way that:

• Violates any applicable local, provincial, national, or international law or regulation
• Infringes upon or violates the intellectual property rights or any other rights of any third party
• Is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable
• Attempts to gain unauthorized access to any part of the Site, other accounts, computer systems, or networks connected to the Site
• Introduces viruses, trojan horses, worms, or other malicious or technologically harmful material
• Interferes with the proper functioning of the Site, including by overloading, flooding, or spamming
• Uses automated means (bots, scrapers, crawlers) to access the Site without our prior written consent
• Impersonates or attempts to impersonate 3 Lions Design Studio, our employees, another user, or any other person or entity

5. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall 3 Lions Design Studio, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from your access to or use of (or inability to access or use) the Site or services
• Damages resulting from any conduct or content of any third party on or related to the Site
• Damages resulting from unauthorized access, use, or alteration of your transmissions or content

Our total aggregate liability to you for all claims arising out of or relating to the use of the Site or services shall not exceed the amount you paid to us during the twelve (12) months preceding the claim.

6. Disclaimer of Warranties

The Site and all services are provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Site will function uninterrupted, securely, or be available at any particular time or location
• Any errors or defects will be corrected
• The Site is free of viruses or other harmful components
• The results of using the Site or our services will meet your specific requirements or expectations

Any reliance you place on information obtained through the Site or our services is strictly at your own risk.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the courts located in Victoria, British Columbia, Canada. You consent to the personal jurisdiction of such courts and waive any objection to the convenience of such forum.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

8. Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to the new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Site after revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using the Site and our services.
